Terms of Service

These terms govern your use of Overrun. Read them carefully. If you do not agree, do not use the site. If anything is unclear, email hello@overrunau.com.au.

Important - Overrun is a marketplace platform

Overrun connects buyers and sellers of surplus trade materials. We are not a party to any transaction between users. We do not own, sell, deliver, or take title to any item listed on the platform. We do not process payment between buyers and sellers - payment, pickup, delivery, and inspection are arranged directly between the parties off-platform.

Overrun makes no representations or warranties about the accuracy of listings, the condition or legality of items, the identity or trustworthiness of users, or the outcome of any transaction. Any dispute relating to a transaction is between the parties to that transaction. To the maximum extent permitted by Australian law (including the Australian Consumer Law where applicable), Overrun’s liability for losses arising from transactions facilitated by the platform is excluded.

The general terms below govern your use of the Overrun website and account.

Who we are

Overrun is an Australian marketplace for surplus trade materials, operated by Overrun AU · ABN 94 245 738 263 · hello@overrunau.com.au — a business name registered with ASIC on 25 July 2026 and operated by its holder as a sole trader. In these terms, “Overrun”, “we”, “us” and “our” refer to that business. “You” means the person accessing overrunau.com.au or holding an Overrun account.

Agreement to these terms

By creating an account, submitting a listing, sending a message, or otherwise using the site, you agree to be bound by these terms and by our Privacy Policy and Cookie Policy. If you use Overrun on behalf of a business, you confirm you have authority to bind that business.

Eligibility

You may use Overrun only if you are at least 18 years old, an Australian resident (or an Australian-registered business), and legally able to enter a binding contract in your jurisdiction. If we learn that a person under 18 has created an account, we will deactivate it.

Your account

  • Provide accurate, current, and complete information when you sign up, and keep it up to date.
  • You are responsible for keeping your sign-in credentials secure and for all activity that happens under your account.
  • One account per person or business. Duplicate or shell accounts may be suspended.
  • You may close your account at any time by contacting us or through your account settings.

Membership plans and pricing

Overrun has a free tier and paid tiers. Browsing the listing index and reading any listing in full — photos, description, price, suburb and the seller — requires no account. A free account is required to contact a seller, and creating your own listings or sending a message requires a paid membership (Tradie or Crew). Current tier prices and features are displayed on our Pricing page. All prices are in Australian dollars and are GST-inclusive where applicable.

Paid memberships are recurring monthly subscriptions billed by our payment processor, Stripe. Your subscription auto-renews at the end of each billing period until you cancel.

We may change membership prices from time to time. If we raise the price of your existing tier, we will give you at least 30 days’ notice by email. The new price applies from the next billing period after that notice; if you do not wish to accept it, cancel before that date and the change will not affect you.

Billing, tax invoices, and refunds

Payment is authorised on the payment method you provide to Stripe. Where a promotional code means there is nothing to pay at signup, we do not ask for a card at that point. If you have not added one by the time the free period ends, we will email you beforehand and your paid features will simply stop - we will not charge a card we do not hold. Stripe stores card details securely under their PCI DSS Level 1 certification; Overrun never receives your card number or CVC.

A GST-inclusive tax invoice is issued for each billing cycle and is available in the Stripe Customer Portal, accessible from your account.

Except where the Australian Consumer Law requires otherwise, paid membership fees are non-refundable, including for partial months after cancellation. Your subscription remains active until the end of the current billing period.

Promotional codes and free-trial offers are subject to any additional terms displayed at the point of redemption and may be withdrawn or modified at any time before you redeem them.

Cancellation

You can cancel your paid membership at any time from the Stripe Customer Portal (accessible via your account). Cancellation stops the next renewal; your paid features remain available until the end of the current billing period.

Listings - what you may post

Overrun is intended for surplus and second-hand trade and construction materials genuinely available for sale in Australia. Listings must:

  • Accurately describe the item, quantity, condition, and location.
  • Include only photos you own or are licensed to use.
  • State a genuine asking price in Australian dollars.
  • Comply with all Australian laws, safety standards, and any regulatory requirements that apply to the item (for example, asbestos handling, dangerous goods, licensed electrical work, or timber-species restrictions).

Listings - what you may NOT post

You must not list, and we will remove listings for:

  • Items you do not own, have no right to sell, or that are stolen.
  • Asbestos and asbestos cement in any form, in any condition, whether or not you hold an asbestos removal licence. See the Prohibited Items policy, which forms part of these Terms and lists the other materials that cannot be posted.
  • Hazardous chemicals, ammunition, weapons, or any goods whose sale requires a licence you do not hold.
  • Counterfeit, recalled, or misrepresented products.
  • Services, labour, or intangible items - Overrun is for physical materials only.
  • Anything that infringes third-party intellectual-property rights.
  • Content that is misleading, discriminatory, sexually explicit, defamatory, or otherwise unlawful.

We may remove any listing at our discretion and without notice where we reasonably suspect a breach of these rules.

Ownership of your content; licence to Overrun

You retain ownership of the photos, text, and other content you submit to Overrun. By publishing content on the site, you grant us a worldwide, non-exclusive, royalty-free licence to host, store, reproduce, adapt (for example, resizing photos or generating thumbnails), display, and distribute that content in connection with operating and promoting the marketplace. This licence continues for the period we need it to operate the site and to comply with any legal record-keeping obligations.

You represent that you own or have permission to grant this licence for everything you upload, and that your content does not infringe any third party’s rights.

Messaging and user conduct

The in-app inbox is for arranging genuine transactions relating to a listing. You must not use it to:

  • Send spam, marketing, or bulk messages.
  • Harass, threaten, or abuse another user.
  • Solicit payment, credentials, or personal information outside the scope of the transaction.
  • Circumvent a paid membership requirement (for example, by messaging outside the platform to avoid Overrun’s fee structure).

Prohibited activities

Regardless of what you list or message, you must not use Overrun to:

  • Interfere with the operation of the site or any user’s use of it.
  • Attempt to access data or accounts you are not authorised to access.
  • Scrape, harvest, or bulk-download listings, user profiles, or messages by any automated means, without our express prior written consent.
  • Use the site for any illegal, fraudulent, or misleading purpose.
  • Circumvent any technical measure we use to enforce these terms, including our cookie consent gate or paywall.

Marketplace role - Overrun is not a party to transactions

Overrun provides the marketplace platform only. We are not a party to, and are not responsible for, any transaction, agreement, or communication between users. We do not:

  • Own, hold, or take title to any listed item.
  • Process payment between buyer and seller.
  • Arrange pickup, delivery, inspection, or return.
  • Provide escrow, dispute resolution, refunds, or replacement of items.
  • Verify the accuracy of listing content beyond the ABN validation described below.

Users are solely responsible for their own transactions, including agreeing on price, arranging handover, inspecting items, and complying with any tax, licensing, or consumer-protection obligations that apply to them.

ABN verification

Where a seller elects to verify their Australian Business Number, Overrun validates the ABN against the Australian Business Register at the time of verification. The ABN-verified badge on a listing means only that the ABN was successfully matched to an active ABR record at that time. It is not a guarantee of the seller’s conduct, the accuracy of any listing, the quality of any item, or the outcome of any transaction.

Content moderation and suspension

We may, at our discretion and without prior notice, remove any listing, edit or delete any message, or suspend or terminate any account where we reasonably believe there has been a breach of these terms, a risk to other users, or a violation of Australian law. Where possible we will tell you why, and give you a fair opportunity to respond. Where we terminate an account for cause, paid fees for the remainder of the current billing period are forfeit.

Third-party services

Overrun relies on third-party services to operate - including Clerk (authentication), Stripe (payments), Cloudinary (image hosting), Resend (email), Vercel (hosting), Sentry (error monitoring), Google Analytics 4 (analytics) and Termly (cookie consent). Your use of the site through those services is also subject to their terms and privacy policies. We are not responsible for the practices of those third parties, but we choose them carefully and hold them to contractual protections.

Your rights under the Australian Consumer Law

Nothing in these terms excludes, restricts, or modifies any guarantee, right, or remedy conferred on you by the Australian Consumer Law (Schedule 2 to the Competition and Consumer Act 2010 (Cth)) or any other law that cannot lawfully be excluded, restricted, or modified. If any provision of these terms is inconsistent with a non-excludable consumer guarantee, that consumer guarantee prevails to the extent of the inconsistency, and the affected provision is read down or severed only to that extent.

Where the Australian Consumer Law permits us to limit our liability for a failure to comply with a consumer guarantee (for services not of a kind ordinarily acquired for personal, domestic, or household use or consumption), our liability is limited, at our option, to supplying the services again or paying the cost of having the services supplied again.

Disclaimer of other warranties

Subject to the Australian Consumer Law and any other non-excludable statutory rights, Overrun is provided “as is” and “as available” without warranties of any kind, whether express or implied. We do not warrant that the site will be uninterrupted, error-free, secure against every attack, or that any information on it is accurate, complete, or current.

Limitation of liability

To the maximum extent permitted by law (and subject to the Australian Consumer Law section above), Overrun’s total aggregate liability to you for any and all claims arising out of or relating to your use of the site or these terms is limited to the total membership fees you paid to us in the 12 months immediately preceding the event giving rise to the claim, or AUD 100, whichever is greater.

Overrun is not liable for indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, business, data, or goodwill, even if we were advised of the possibility of such damages.

Indemnity

You indemnify Overrun against any claim, loss, damage, cost, or expense (including reasonable legal fees) suffered or incurred by us arising out of or in connection with:

  • Content you submit to the site.
  • Any transaction, message, or dispute between you and another user.
  • Your breach of these terms or of any Australian law.

This indemnity does not apply to the extent the loss arose from our negligence or wilful misconduct, or to any liability we owe you under the Australian Consumer Law that cannot lawfully be indemnified.

Termination

You may stop using Overrun and close your account at any time. We may suspend or terminate your access if you breach these terms, if we cease operating the site, or if continued provision of the service to you would expose us to legal or regulatory risk. Sections that by their nature should survive termination - including the Marketplace Role, IP licence, Disclaimer, Limitation of Liability, and Indemnity sections - survive termination.

Governing law and jurisdiction

These terms are governed by the laws of Victoria, Australia. You and Overrun submit to the non-exclusive jurisdiction of the courts of Victoria and the Federal Court of Australia for any proceeding arising out of these terms or your use of the site.

Dispute resolution

If you have a complaint about Overrun, contact us first at hello@overrunau.com.au with a clear description of the issue. We will make a genuine attempt to resolve it within 21 days. If we cannot resolve the matter between us, either party may take the dispute to the courts identified in the previous section, or to any tribunal or regulator with jurisdiction under Australian law.

Changes to these terms

We may update these terms from time to time. The “Last updated” date at the top of this page always shows the current version. If we make a material change, we will notify account holders by email at least 30 days before the change takes effect. Your continued use of the site after that date confirms your acceptance of the updated terms; if you do not accept them, close your account before that date.
